Founded in October, 1984, Shanghai Insurance Institute (SII) is an academic organization studying insurance science in Shanghai. SII is under the leadership of Shanghai Bureau of China Insurance Regulatory Commission and Shanghai Federation of Social Science Associations, with 82 group members (including Chinese insurance companies, foreign-funded insurance companies, Sino-foreign joint venture insurance companies, insurance intermediaries, insurance-related schools and scientific research institutions, and Shanghai Offices of foreign-funded insurance companies). According to the new situations faced by the insurance market, SII has successively set up Actuarial Professional Committee, Professional Committee on Legal Studies, Professional Committee on Information Technology, and The Youth and Middle-Aged Academic Committee. They have actively conducted research and discussion on insurance theories, promoted academic research on insurance theories and facilitated the sound development of the insurance market in Shanghai. With its publication started in October, 1984, the Shanghai Insurance was founded by SII, which is the only existing domestic provincial insurance publication with the qualification of being published at home and abroad. The project involved the formation of a joint venture in Hong Kong with two Chinese partners, joint venture negotiations with one of Europe’s leading electrical utility service providers, and then a third joint venture in Hungary for use in bidding for electricity projects throughout the country. 3.       Counseling a publicly-traded PRC manufacturer with respect to the negotiation of the acquisition of a European inks business as part of a competitive auction, presenting complex EU competition issues. 4.       On behalf of a Chinese multi-brand management company, conducted legal due diligence on a German automobile components manufacturer in connection with a possible acquisition, involving technology and asset ownership issues. 5.       Representing a Chinese client in establishing a US subsidiary and subsequent acquisition and construction work in the US. 6.       Assisting a leading provincial broadcasting station in China in connection with the establishment of a subsidiary in London, as well as advising on IP protection, employment and commercial matters. 7.       Counseling a Chinese company in a dispute before a panel organized by the American Arbitration Association. 8.       Advising Chinese company on all aspects of the acquisition of an offshore holding company and its ownership interests overseas. 9.       Serving as principal outside counsel to a PRC-based automotive components manufacturing company with respect to numerous transactions in mainland China. 10.    In connection with the firm’s work as lead global counsel to ITOCHU Corporation in its US$1.68 billion acquisition of the Asia fresh fruit and global packaged foods businesses of Dole Food Company, coordinated local counsel in more than 15 countries throughout the Asia Pacific region and the Middle East, including the investigation of real estate and foreign ownership matters, compliance, health, safety and environmental issues, competition, foreign exchange, regulatory, and employment matters. 11.    Advising a US-based manufacturer of electrical products in the acquisition of the assets of two PRC companies, crafting an onshore and offshore structure for minimizing PRC and US taxes, addressing asbestos and other environmental issues through identification of problem assets, retention of such assets by the sellers, representations and warranties, and ongoing indemnification by the selling entities secured by personal guaranties. To ensure continuity of management, we prepared retention agreements for the key executives. We also assisted the client in navigating complex regulatory and commercial issues including development of a transaction structure that did not require government approval and analysis of the process for expeditiously obtaining China Compulsory Certifications with respect to most products. 12.    Counseling a Europe-based company engaged in industrial supervisory control and business process management systems with respect to all aspects of its efforts to acquire control of a China-based, publicly traded, state-owned enterprise, including work with state-owned assets, securities and stock exchange authorities in mainland China. 13.    Representing a US-based regional airline in all aspects of the first passenger airline joint venture between a US-based and China-based air carrier. 14.    Advising one of a world's leading international oil well-head services companies with all aspects of the equity sale of two subsidiaries in China as part of a global sale of the business. 15.    Advising a US client on all aspects of an equity acquisition in a wind power plant in Inner Mongolia, including conducting legal due diligence, advising on deal structure, preparing transaction documents and operational agreements, and assisting in negotiations in connection with multiple joint ventures among the parties for manufacturing, service, and sales.
