All listed companies,

These Guidelines for Listed Companies' Suspension of and Exemption from Information Disclosure (see Appendix I), which have been formulated by the Shanghai Stock Exchange (hereinafter referred to as the "SHSE") in accordance with the Rules of the Shanghai Stock Exchange for the Listing of Stocks and other provisions to regulate listed companies' information disclosure suspension and exemption and to supervise and urge listed companies and the relevant information disclosure obligors to perform their information disclosure obligations in accordance with laws and regulations, are hereby promulgated and come into force as of June 10, 2016.

Meanwhile the SHSE has drawn up the relevant questions and answers (see Appendix II) regarding issues that may arise in the specific handling of information disclosure suspension and exemption to facilitate listed companies' better understanding and implementation of the Guidelines, released them together with these Guidelines for reference and application by listed companies.

The Circular is hereby given.

Appendix I: Guidelines of the Shanghai Stock Exchange for Listed Companies' Suspension of and Exemption from Information Disclosure

Article 1 These Guidelines of the Shanghai Stock Exchange for Listed Companies' Suspension of and Exemption from Information Disclosure (the "Guidelines") are formulated in accordance with the Securities Law and the Rules of the Shanghai Stock Exchange for the Listing of Stocks (the "Rules for the Listing of Stocks") and other provisions to regulate the activities of information disclosure suspension and exemption of listed companies and to supervise and urge listed companies and the relevant information disclosure obligors (the "information disclosure obligors") to perform their information disclosure obligations in accordance with laws and regulations.

Article 2 These Guidelines shall apply to situations in which information disclosure obligors handle information disclosure suspension an exemption business in accordance with the Rules for the Listing of Stocks and other relevant business rules of the Shanghai Stock Exchange (the "SHSE").

Article 3 Where the information that should be disclosed falls under any circumstance of suspension and exemption specified in the Rules for the Listing of Stocks, the relevant information disclosure obligor is not required to file an application for such information disclosure suspension and exemption and may make prudent judgment at its sole discretion.
