In order to regulate the financial information disclosure behaviors of pilot innovative red-chip enterprises that publicly issue securities and are listing on the science and technology innovation board ("red-chip enterprises") and protect the legitimate rights and interests of red-chip enterprises and investors, upon approval by the China Securities Regulatory Commission, the Shanghai Stock Exchange has formulated the Information Disclosure Guidelines for Financial Statements of Pilot Innovative Red-chip Enterprises on the Science and Technology Innovation Board (the "Guidelines", see the appendix for details) in accordance with the Rules for the Information Disclosure and Compilation of Companies Publicly Offering Securities No.24 -- Special Provisions on the Information in Financial Statements of Pilot Innovative Red-chip Enterprises on the Science and Technology Innovation Board and other relevant laws and regulations, with respect to the financial indicators and adjustment information and matters subject to disclosure in the adjustment process involved in the supplementary financial information of red-chip enterprises. The Guidelines are hereby promulgated and shall take effect from the date of promulgation.

Information Disclosure Guidelines for Financial Statements of Pilot Innovative Red-chip Enterprises on the Science and Technology Innovation Board
Article 1 The Shanghai Stock Exchange (the "SSE") has formulated the Information Disclosure Guidelines for Financial Statements of Pilot Innovative Red-chip Enterprises on the Science and Technology Innovation Board (the "Guidelines") in accordance with the Rules for the Information Disclosure and Compilation of Companies Publicly Offering Securities No.24 -- Special Provisions on the Information in Financial Statements of Pilot Innovative Red-chip Enterprises on the Science and Technology Innovation Board (the "Special Provisions") and other relevant laws and regulations, in order to regulate the financial information disclosure behaviors of pilot innovative red-chip enterprises that publicly issue securities and are listing on the science and technology innovation board ("red-chip enterprises") and protect the legitimate rights and interests of red-chip enterprises and investors.
Article 2 The Guidelines shall apply to situations in which red-chip enterprises that publicly offer shares or depositary receipts and are listing within the territory of China prepare financial statements for the declaration of the initial public offering of shares or depository receipts by adopting equivalent accounting standards or overseas accounting standards, disclose the annual financial statements and disclose the relevant financial information by reference to annual financial statements in accordance with the relevant provisions.
For the purpose of the Guidelines, the equivalent accounting standards refer to the accounting standards recognized by the Ministry of Finance and equivalent to the Chinese Accounting Standards for Business Enterprises.
For the purpose of the Guidelines, the overseas accounting standards refer to the international financial reporting standards or the U.S.
