The Decision of the State Council on Repealing and Revising Certain Administrative Regulations is hereby issued and shall come into force on March 1, 2014.

Decision of the State Council on Repealing and Revising Certain Administrative Regulations
To accelerate the transformation of government functions through the rule of law, further relax the access control over market players , stimulate the vitality of social investment, implement the changes from the paid-in registered capital registration system to the subscribed registered capital registration system and from the annual inspection and license review system to the annual report publicity system as stipulated in the Reform Proposals for the Registered Capital Registration System, and perfect the contents of the credit restraint mechanism, the State Council has reviewed relevant administrative regulations according to the decision on revising the Company Law as adopted by the Sixth Session of the Standing Committee of the Twelfth National People's Congress on December 28, 2013. Upon review, the State Council decides that:
I. Two administrative regulations shall be repealed. (Appendix I)
II. Some articles of eight administrative regulations shall be revised. (Appendix II)
This Decision shall come into force on March 1, 2014.
Appendix I Administrative Regulations Repealed by the Decision of the State Council
I. Several Provisions on the Capital Contribution by Parties to the Sino-Foreign Joint Ventures (Approved by the State Council on December 30, 1987 and jointly promulgated by the Ministry of Foreign Trade and Economic Cooperation and the State Administration for Industry and Commerce on January 1, 1988)
II. Supplementary Provisions to the Several Provisions regarding Investment Contributions Made by Parties to a Sino-Foreign Joint Equity Venture (Approved by the State Council on September 2, 1997 and jointly promulgated by the Ministry of Foreign Trade and Economic Cooperation and the State Administration for Industry and Commerce on September 29, 1997)
Appendix II Administrative Regulations Revised by the Decision of the State Council
I. The Administrative Regulations of the People's Republic of China on Company Registration shall be revised.
1. Item 5 of Article 9 shall be deleted; Item 9 shall be changed into Item 8 as "names of the shareholders of limited liability companies or names of the sponsors of joint stock limited companies."
